Terms of Service

These Terms of Service form an agreement between you and Priova Intelligence, a sole proprietorship registered in Québec, Canada (“Priova Intelligence,” “Layrin,” “we,” “us,” or “our”).

By creating an account, starting a trial, installing or using the desktop application, accessing the account platform, or using a managed AI feature, you agree to these Terms. If you do not agree, do not use Layrin.

Priova Intelligence operates Layrin from Québec, Canada. The public business identity is:

You must be at least 18 years old and legally capable of entering into a binding agreement to use Layrin. If you use Layrin on behalf of an organization, you represent that you have authority to accept these Terms on its behalf and to process the content you submit.

You must provide accurate account information and keep it current. You are responsible for protecting account credentials, licence keys, desktop access, and devices used with Layrin, and for activity under your account unless caused by our breach of these Terms or applicable law.

Layrin is a desktop application and related account platform that acts as a local-first privacy layer before cloud AI. It is designed for professional text, including emails, messages, internal notes, support replies, HR communications, business drafts, longer reports, and other professional content pasted into Layrin. Layrin can detect sensitive values, replace them with tokens, provide review and correction controls, support manual hiding, submit reviewed protected text to a managed AI workflow where available, and restore protected AI responses locally.

Original text is processed locally in the desktop application. Detection, tokenization, review, correction, manual hiding, token mappings, and restoration occur locally. Original values and token mappings remain in the local token vault, and you decide whether to proceed with protected content.

Layrin Pro includes Layrin-managed AI. By using Pro, you authorize temporary processing of the reviewed protected context, protected instruction, and tokenized AI response through Priova Intelligence’s authenticated managed AI service so Priova can provide that feature to the AI provider and return the tokenized response to the desktop app. Priova does not receive original unprotected values or local token mappings and does not log or persistently retain managed-AI content payloads. Layrin Protect does not include Layrin-managed AI; Protect users use their own direct/user-supplied AI path after local protection and review. You remain responsible for reviewing protected content before sending.

Layrin is designed to assist with the identification and protection of sensitive text. You remain responsible for reviewing the protected version and manually hiding any additional information that you consider confidential before sending it to an AI provider. Automated detection can miss details; the Review step is required before cloud use.

Features, usage limits, supported AI workflows, device allowances, and other entitlements depend on the plan shown at checkout or in your dashboard. Layrin Protect provides local protection and a direct/user-supplied AI path and does not include Layrin-managed AI. Layrin Pro includes Layrin-managed AI. Enterprise and customer-managed AI arrangements are Coming soon / deferred until after the beta and are not currently available as self-serve features. Plan changes apply prospectively and subject to applicable law and required notice.

Your 7-day trial begins when you enrol and provide a valid payment method. You will not be charged a subscription fee during the trial. Unless you cancel before the trial ends, your monthly subscription will begin automatically on the date and at the price shown during checkout, plus applicable taxes. Trial availability may depend on eligibility shown at enrolment.

Subscriptions renew monthly until cancelled. Stripe automatically attempts to charge your saved payment method for the applicable price shown at checkout, in your account, or in the Stripe portal, plus applicable taxes. You must keep payment details current. Cancelling renewal stops future charges and paid access continues through the current paid billing period.

Stripe processes trial enrolment, payment-method collection, subscriptions, recurring charges, invoices, receipts, refunds, billing corrections, failed payments, disputes, fraud checks, and customer self-service billing where available. Payment card data is collected and processed by Stripe, and Priova Intelligence does not store complete payment card numbers. Stripe’s own terms and privacy documentation apply to Stripe’s processing.

Prices are shown at checkout or in your dashboard before purchase or renewal. Taxes may be added based on billing information and applicable law. Priova Intelligence may change prices prospectively after reasonable notice and subject to applicable law.

If a payment fails, Stripe may retry the payment and we may notify you. Access may be restricted or suspended after a failed payment, and you remain responsible for valid accrued charges. Where appropriate, access is restored after successful payment.

Cancellation stops future renewals. You may continue using Layrin until the end of your current trial or paid billing period. Cancelling a subscription does not automatically delete your account or local desktop data. Deleting or uninstalling the desktop app does not cancel your subscription or delete your online account.

Except where required by applicable law, subscription fees are non-refundable and are not prorated for partial billing periods. Priova Intelligence will correct confirmed duplicate charges or billing errors. Discretionary refunds may be issued without creating an ongoing obligation to provide similar refunds.

Cancellation and account deletion are different. Account deletion may be requested through the dashboard where available or by contacting privacy@priova.io. Deletion revokes account and product access and eligible account data is deleted or de-identified as described in the Privacy Policy. Billing, tax, dispute, fraud, security, and legal records may be retained where required. Online account deletion does not automatically erase local desktop data.

Subject to valid account access and entitlement, Priova Intelligence grants you a limited, non-exclusive, non-transferable, revocable licence to install and use the Layrin desktop application for personal or internal-business purposes on devices permitted by your plan. You do not acquire ownership of the software.

You may use Layrin only within the device, user, licence, rate, and entitlement limits that apply to your plan. You must not share access credentials, licence keys, or desktop session tokens except as expressly allowed by the applicable plan or written agreement.

You retain ownership of your content. Priova Intelligence does not claim ownership of your original text, protected text, instructions, or outputs. You represent that you have the rights and authority required to process the content with Layrin and to comply with confidentiality, privacy, employment, contractual, professional, and organizational obligations that apply to it.

You grant Priova Intelligence only the limited rights required to process protected content in transit and provide the features you request. This limited permission does not give us ownership of your content and does not include local original values or local token mappings that remain on your device.

AI output may be incomplete, incorrect, outdated, misleading, unsuitable, or similar to output generated for other users. Output may contain protected tokens, and restoration depends on your local token mappings. You must review output before relying on, sending, publishing, or acting on it. Output is not verified fact or professional advice, and Priova Intelligence does not guarantee that output is unique or non-infringing.

Layrin does not guarantee that every sensitive detail will be detected, classified, or replaced correctly. False positives, missed detections, and imperfect token classifications can occur. You must review the protected version before sending it and manually hide any additional information that should remain private.

Layrin is not legal, medical, financial, accounting, tax, employment, cybersecurity, or other professional advice. AI output must not replace qualified professional judgment. If you operate in a regulated environment, you are responsible for determining whether your use is permitted and for following applicable policies and permissions. Layrin does not automatically create attorney-client privilege, medical confidentiality, or other protected legal status.

You may use Layrin for lawful professional and personal-business purposes. You must follow applicable law, respect third-party rights, have authority to process submitted data, protect credentials, respect plan and rate limits, and use AI-related features consistently with applicable OpenAI or other provider rules.

You must not use Layrin to:

• engage in illegal activity, fraud, harassment, abuse, or infringement;
• steal credentials, deploy malware, scrape protected service components, or disrupt systems;
• bypass plan, licence, entitlement, security, or rate controls;
• extract or share Priova credentials, API keys, cloud tokens, licence keys, or session tokens;
• resell access without permission or violate third-party AI provider terms; or
• use Layrin to conceal unlawful conduct.

Layrin relies on third-party services such as Stripe, OpenAI, Vercel, Neon / authentication infrastructure, transactional email providers, and linked third-party websites. These services operate under their own terms and privacy documentation. Priova Intelligence does not control every aspect of third-party availability or processing, but remains responsible for its own obligations that cannot be disclaimed under applicable law.

OpenAI powers the managed AI generation workflow where included in your plan. Only reviewed protected/tokenized content is submitted. Use may be subject to OpenAI usage restrictions and service availability. OpenAI may change models or capabilities, and Priova Intelligence does not control all OpenAI outputs or uptime. Availability of a specific model is not guaranteed unless stated in your selected plan or written agreement.

The Privacy Policy explains account data, local content processing, protected content in transit, OpenAI, Stripe, analytics and advertising technologies, retention, deletion, and privacy rights.

Priova Intelligence owns or licenses the Layrin software, branding, website design, documentation, code, workflows, product interfaces, proprietary rules, and related materials. Third-party technology remains owned by its respective owners. Your content remains yours.

If you voluntarily provide suggestions or product feedback, you grant Priova Intelligence a non-exclusive, worldwide, royalty-free licence to use that feedback to improve Layrin without compensation. This feedback licence does not automatically include private document content, support attachments, or local vault data.

Layrin may include private access, beta, preview, or experimental features. These features may be limited, changed, removed, replaced, or contain defects. Additional limitations may apply. Paid core access will not be removed retroactively without regard to applicable law and any rights you have for the paid period.

We may update Layrin for features, compatibility, performance, reliability, or security. Some updates may be required to continue using online services or managed AI features. You should install security updates promptly. Feature changes apply prospectively, subject to applicable law and reasonable notice where required.

Layrin may be unavailable because of maintenance, provider outages, network conditions, security events, updates, payment issues, or events beyond reasonable control. We do not guarantee uninterrupted availability or compatibility with every device, network, operating system, browser, or enterprise environment.

We may suspend or terminate access for material breach, illegal activity, fraud, security threats, abuse, non-payment, bypassing controls, or risk to users or systems. Where reasonable, we will provide notice and an opportunity to correct non-urgent issues. We may act immediately for security threats, fraud, illegal conduct, or serious abuse. Suspension or termination may affect account access, desktop entitlement, subscriptions, and managed AI access, but does not automatically erase local desktop data.

To the maximum extent permitted by law, Layrin is provided on an “as available” basis. We do not guarantee uninterrupted service, complete detection, AI output accuracy, compatibility with every environment, or that the service will meet every need. Layrin is not professional advice. Mandatory warranties and consumer rights that cannot be excluded remain unaffected.

To the maximum extent permitted by law, Priova Intelligence is not liable for indirect, incidental, special, consequential, exemplary, or lost-profit damages. Priova Intelligence’s aggregate liability for claims related to Layrin is limited to the subscription fees you paid for Layrin during the 12 months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot legally be excluded, including liability for intentional fault or gross fault where exclusion is prohibited.

If you use Layrin for a business or organization, you agree to defend and indemnify Priova Intelligence against third-party claims arising from your unlawful use, content you lacked authority to process, infringement of third-party rights, violation of these Terms, or deliberate bypass of security or licence controls. This obligation does not require you to indemnify Priova Intelligence for its own negligence, misconduct, or breach where prohibited by law.

These Terms are governed by the laws of Québec and the applicable federal laws of Canada. Subject to mandatory rights that may apply, disputes will be brought before the courts located in the judicial district of Québec. Nothing in these Terms limits any mandatory rights or remedies available to a consumer under applicable law, including rights that apply outside Québec.

Some laws give consumers mandatory rights that cannot be waived or limited by contract. These Terms do not limit those rights. If a provision is unenforceable against you because of mandatory law, the provision applies only to the maximum extent permitted.

We may update these Terms by publishing a new version and changing the last-updated date. Material changes may be communicated by email, dashboard notice, or another reasonable method. Changes normally apply prospectively. Continued use after the effective date constitutes acceptance where legally permitted; where consent is legally required, it must be obtained. Price or material subscription changes are subject to applicable notice requirements.

These Terms, together with any applicable checkout terms, dashboard notices, order forms, and policies they reference, form the agreement for Layrin. A separate enterprise order form or written agreement may take precedence for the specific enterprise deployment it covers. Provisions on payment obligations, intellectual property, confidentiality, disclaimers, liability limits, indemnification, governing law, and provisions that by nature should survive will survive termination. The French version remains available, and you may select the language version available to you before accepting.
